Old Millhillians Club Governance Practices

Legal Structure

Since 6 January 2020, the Club has been a Company Limited by Guarantee, registered in England & Wales under number 12088419. Its Registered Office is The Ridgeway, London NW7 1QS. Old Millhillians Club Limited is the parent company of Old Millhillians Club Land And Investments Ltd, the company that owns Headstone Lane.


AGM

Each June the Club holds a hybrid AGM with online proxy voting prior to the meeting. The Directors of Old Millhillians Club Limited are keen for Club Members to participate actively in Club governance and encourage all members to attend the AGM virtually if in person attendance is not practical.


Operations

The respective Boards of Directors of the parent company and its subsidiary meet regularly. The Old Millhillians Club directors meet at least six times a year with a board meeting typically being followed by a Management Committee meeting, when directors are joined by the Head, the Head of Sixth Form and the OM Relations Officer. Directors of Old Millhillians Club Land and Investments Ltd meet at least three times a year.

The Club Board focusses on the strategic direction of the Club, its relations with Mill Hill School Foundation and the Club’s finances. Day to day responsibilities are delegated to sub-committees: Careers, Nominations & Governance, Investment and OM Relations. The Chair of each sub-committee is a member of the Management Committee and reports regularly on sub-committee initiatives to the Management Committee.

The Board of Old Millhillians Club Land and Investments Ltd focusses on OM sports development and safeguarding the Club’s assets and reserves.

GDPR & Privacy Policy

The Club and the Mill Hill School have co-signed a Data Sharing Agreement such that both parties may communicate with OMs in accordance with their respective Privacy Policies. The Club uses "Contract" as its lawful basis for communicating with members and "Legitimate Interest" for communicating with all other OMs.

The Old Millhillians Club Limited and its members must comply with General Data Protection Regulations (GDPR) which form part of the data protection regime in the UK, together with the Data Protection Act 2018 (DPA 2018).

The Club must also comply with Privacy and Electronic Communications Regulations (PECR), which sit alongside the Data Protection Act and GDPR. PECR give people specific privacy rights in relation to electronic communications.

Club Rules, recently updated and approved at the June 2020 Annual General Meeting, clarify the data protection obligations of the Club and those of its members. Moreover, any OM joining the Club is requested to complete and sign a Membership Application Form which re-states these obligations.

The Club’s Privacy Policy tells you what to expect us to do with your personal information when you make contact with us or use one of our services viz.

  • why we are able to process your information
  • what purpose we are processing it for
  • whether you have to provide it to us
  • how long we store it for
  • whether there are other recipients of your personal information
  • whether we intend to transfer it to another country, and
  • whether we do automated decision-making or profiling
